By accessing and using Churnmate ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Churnmate is a customer retention platform that helps SaaS businesses reduce subscription churn through intelligent, customizable cancellation flows. Our service includes:

  • Visual flow builder for creating custom cancellation experiences
  • Integration with Stripe for subscription management
  • Advanced customer segmentation and targeting
  • Data collection and analytics tools
  • Retention interventions including subscription pausing and dynamic discounts
  • Multi-environment support for testing and production

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password and for maintaining the confidentiality of your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account.

4. Pricing and Payment Terms

Our pricing structure is designed to scale with your business:

  • Monthly Subscription: $49 per month for access to all platform features
  • Success Fee: 10% of the subscription value for each subscriber successfully retained through our platform

Payment is due monthly in advance for the subscription fee. Success fees are calculated and charged based on actual subscription deflections processed through our platform.

5. Acceptable Use Policy

You agree not to use the Service for any unlawful purposes or in any way that could damage, disable, or impair the Service. Prohibited activities include:

  • Using the Service to violate any applicable laws or regulations
  • Attempting to gain unauthorized access to other users' accounts or data
  • Interfering with or disrupting the Service or servers
  • Using the Service to collect personal information without proper consent
  • Reverse engineering, decompiling, or disassembling any part of the Service

6. Data Processing and Privacy

We process customer data to provide our retention services. You warrant that you have obtained all necessary permissions and consents from your customers for data processing activities conducted through our platform.

Our data processing practices are governed by our Privacy Policy, which forms an integral part of these Terms of Service. We implement appropriate technical and organizational measures to protect personal data.

7. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Churnmate and its licensors. The Service is protected by copyright, trademark, and other laws.

You retain ownership of any content, data, or information you provide through the Service. By using our Service, you grant us a limited, non-exclusive license to use such content solely for providing the Service to you.

8. Third-Party Integrations

Our Service integrates with third-party platforms including Stripe, Mixpanel, and Google Analytics. Your use of these integrations is subject to the respective third-party terms of service and privacy policies.

We are not responsible for the availability, content, or practices of third-party services. Any transactions or interactions you have with third-party providers are solely between you and the third party.

9. Service Availability and Support

We strive to maintain high service availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect service availability.

Support is provided through our standard channels during business hours. We aim to respond to support inquiries within a reasonable timeframe but do not guarantee specific response times.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Churnmate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses.

Our total liability to you for any claims arising from or related to this agreement or the Service shall not exceed the amount you paid to us in the twelve months preceding the claim.

11. Termination

Either party may terminate this agreement at any time with written notice. Upon termination, your access to the Service will be discontinued, and any outstanding fees will become immediately due.

We reserve the right to suspend or terminate accounts that violate these Terms of Service or engage in activities that could harm our Service or other users.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new terms.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction where Churnmate is incorporated, without regard to its conflict of law provisions.
